Rotary Club Bylaws

 

Bylaws of the Golden Strip Sunrise Rotary Club           

(Revised September 2023)

 

These bylaws are specific to the above club to meet its own conditions, provided such bylaws are not in conflict with the Standard Rotary Club Constitution and with the RI Constitution, RI bylaws, and the Rotary Code of Policies.  If any doubt exists the proposed changes should be submitted to the area Assistant Governor for consideration.

 

Article 1  Definitions

1. Board:            The board of directors of this club.

2. Director:        A director on this club’s board.

3. Member:        A member, other than an honorary member, of this club.

4. Quorum:        The minimum number of participants who must be present when a vote is taken: one-third of the club’s members for club decisions and a majority of the directors for club board decisions.

5. RI:                  Rotary International.

6. Year:              The 12-month period beginning 1 July.

 

Article 2  Board 

The governing body of this club is its board of directors, consisting of, at a minimum, the president, immediate past president, president-elect (when elected), secretary, and treasurer.  The Club President may include committee chairs on the Board.

 

Article 3  Elections and Terms of Office

Section 1 — One month before elections, members shall nominate candidates for president, vice president, secretary, treasurer, and any open director positions. The nominations may be presented by a nominating committee, by members from the floor, or both. 

 

Section 2 — The candidate who receives a majority of the votes for each office is declared elected to that office. 

Section 3 — If any officer or board member vacates their position, the remaining members of the board will appoint a replacement.

Section 4 — If any officer-elect or director-elect vacates a position, the remaining members of the board-elect will appoint a replacement.

Article 4 Duties of the Officers

Section 1 — President - It shall be the duty of the president to preside at meetings of the club and the board and to perform other duties as ordinarily pertains to the office of president.

Section 2 — Immediate Past President - The immediate past president shall serve as the President in his/her absence.

Section 3 — President-Elect - The president-elect shall prepare for his or her year in office and serves as a board member.  The PE shall perform any duties requested the president. 

Section 4 — The vice president presides at club and board meetings when the president is absent.

Section 5 — A director attends club and board meetings.

Section 6 — Secretary - It shall be the duty of the secretary to keep membership records, record attendance at meetings, and send out notices of club and board meetings.

Section 7 — Treasurer - It shall be the duty of the treasurer to oversee all funds and provide an accounting of them, and to perform any other duties as pertains to the office of Treasurer.  Upon retirement from office, the treasurer shall turn over to the incoming treasurer or to the president all funds, books of accounts, or any other club property.

Section 8 — The sergeant-at-arms maintains order in club meetings.

Section 9 – Board members may perform additional duties as assigned.

 

 

 

 

Article 5 Meetings 

Section 1 — An annual meeting of this club is held no later than 31 December to elect the officers and directorswho will serve for the next Rotary year.

Section 2 — This club meets as follows: ­­­every Thursday at 7:15 a.m. Reasonable notice of any change or cancellation of the regular meeting will be given to all club members.

Section 3 — Board meetings are held each quarter during a regularly scheduled meeting time and shall include the entire club membership. Special meetings of the board are called with reasonable notice by the president or upon the request of two directors. One third of the membership shall constitute a forum at the annual and regular meetings of the club.

Section 4 – Regular meeting of the board shall be held on the first Thursday of each quarter.  Special meetings of the board shall be called by the president whenever deemed necessary.  Board meetings shall include the entire club membership.

 

 

Article 6 Dues

Annual club dues are $600, They are paid  $150 per quarter. Annual club dues include RI per capita dues, subscriptions to an official magazine, district per capita dues, club fees, meeting mealsand any other Rotary or district per capita assessment.

Service Only Memberships are available for anyone wanting to participate in service projects but not regularly attend meetings.  Dues for these members are $75/quarter ($300/year) which will cover RI per capita dues, subscriptions to an official magazine, district per capita dues, contributions to Rotary Annual Fund SHARE and Polio Plus.  These members will be responsible for the meal cost of any meeting they attend.

Family memberships are available to the family of full active members. Dues for a family member are $200/year, which will cover RI per capita dues, subscriptions to an officialmagazine, district per capita dues.  These members will be responsible for the meal cost of any meeting they attend.  Contributions to Rotary Annual Funds SHARE or Polio Plus will not be required of family members since the full active member will be contributing to these funds.

 

 

Article 7 Method of Voting

The business of this club is conducted by voice vote or a show of hands except in the election of officers and directors, which is conducted by ballot. The board may also provide a ballot for a vote on some resolutions.

 

Article 8 Five Avenues of Service / Seven Areas of Focus

Section 1 —The five Areas of Service are the philosophical and practical framework for the work of this Rotary Club.  They are Club Service, Vocational Service, Community Service, Youth Service and International Service.  This club will be active in each of the Areas of Service.

Section 2 – The seven areas of focus to Rotary International are peacebuilding and conflict prevention: disease prevention and treatment; water, sanitation and hygiene: maternal and child health; basic education and literacy; supporting the environment; and community economic development.

 

 

Article 9      Committees 

Section 1 – Club committees are charged with carrying out the annual and long-range goals of the club based on the five Avenues of Service.  The president, president-elect, and immediate past president should work together to ensure continuity of leadership and succession planning.  The president-elect is responsible for appointing committee members to fill vacancies, appointing committee chairs, and other planning meetings prior to the start of the year in office.  Standing committees should be appointed as follows:

Membership – This committee should develop and implement a comprehensive plan for the recruitment and retention of members.

            

   Club Public Relations/Public Image – This committee should develop and implement plans to provide the public with information about Rotary and to promote the club’s service projects and activities.

 

   Club Administration – This committee shall conduct activities associated with the effective operation of the club.

 

   Service Projects – This committee shall develop and implement educational, humanitarian and vocational projects the address the needs of communities both local and internationally.

   

   The Rotary Foundation – This committee shall develop and implement plans to support The Rotary Foundation through both financial contributions and program participation.

 

   Fundraising – This committee shall be responsible for determining fundraising projects and set the goals for each member to contribute to the fundraising efforts.

 

Ad hoc committees may be appointed as needed.

 

Section 2 — The president is an ex officio member of all committees. 

Section 3 — Each committee’s chair is responsible for the regular meetings and activities and coordinate the work of the committee.

 

Article 10 Finances 

Section 1 — Before each fiscal year starts, the board prepares an annual budget of estimated income and expenditures. 

Section 2 — The treasurer deposits club funds in a financial institution or institutions designated by the board, divided into two accounts: one for club operations and one for service projects.

Section 3 — Bills are paid by the treasurer or another authorized officer and approved by two other officers or directors.

Section 4 — A qualified person conducts a thorough annual review of all financial transactions when deemed necessary by the Board.

Section 5 — Club members will receive, at a minimum, an annual financial statement of the club. A mid-year financial report, current and previous year income and expenses, is presented at the annual meeting.

Section 6 — The fiscal year is from 1 July to 30 June.

 

 

Article 11 Method of Electing Members

Section 1 — A member proposes a candidate for membership to the board and/or the membership committee, or another club proposes one of its transferring or former members.

Section 2 — The board approves or rejects the candidate’s membership within 30 days and notifies the proposing member of its decision.

Section 3 — If the board approves the candidate’s membership, the prospective member is invited to join the club.

Section 4 – Following the election, the president shall arrange for the new member’s induction, membership card and new member Rotary literature. In addition the secretary will enter the member’s information into DAC db database.

Section 5 – The club may elect, in accordance with the standard Rotary club Constitution, honorary members proposed by the board.

 

Article 12 Amendments

These bylaws may be amended at any regular club meeting. Changing the club bylaws requires sending written notice to each member 21 days before the meeting, having a quorum present for the vote, and having two-thirds of the votes support the change. Changes to these bylaws must be consistent with the Standard Rotary Club Constitution, the RI Constitution and Bylaws, and the Rotary Code of Policies.
